Anthropic Submits Private Filing for Potentially Historic IPO

Anthropic has filed confidential documents for an initial public offering on Monday, marking a significant milestone for the $965 billion company. This filing with US regulators is part of what could be an unprecedented year for IPOs as AI companies seek to finance their costly research efforts.

In a brief, unsigned blog post, Anthropic announced the filing, mentioning that neither the amount of funds they aim to secure nor the valuation has been determined. The company indicated that the IPO’s timing would be contingent on market conditions and other considerations. This announcement follows closely after Anthropic’s recent declaration of a $65 billion fundraising initiative.

The company chose not to provide any further comments beyond its blog.

Under the leadership of CEO Dario Amodei, Anthropic enters a competitive landscape. OpenAI is reportedly eyeing its own public offering as early as September. Meanwhile, SpaceX, which is linked to Elon Musk’s xAI, quietly submitted its IPO documents in April and made them public on May 20. Currently, it is aiming for a stock market launch on June 12, with a valuation target of $1.75 trillion, according to reports from Reuters.

The three firms are in a race to secure funding that will support the computing power needed to develop sophisticated frontier AI models. Anthropic’s revenue for the year, based on sales from an undisclosed period last month, stands at $47 billion, the company revealed last week. However, expenditures on cloud services and staffing have resulted in losses.

Monday’s filing with the US Securities and Exchange Commission permits regulators to review the extensive document, which outlines Anthropic’s ambitions, financial status, and challenges. (The company can subsequently make revisions based on regulatory feedback.) Preparing for an IPO is a complex process, requiring firms to strengthen their accounting practices, refine internal policies, and develop a compelling sales narrative for potential investors.

The highly anticipated public debut could create significant wealth distribution across San Francisco, where Anthropic is headquartered. Some Anthropic employees have previously converted part of their shares into cash by privately selling them to investors ahead of the IPO. However, more employees may opt to cash out or sell larger portions as part of the IPO process, potentially transforming numerous paper millionaires and billionaires into wealth holders.

The IPO could also benefit major stakeholders like Amazon and early investors who backed the company, including Skype co-founder Jaan Tallinn.

If everything proceeds smoothly, Anthropic’s IPO could potentially rival SpaceX’s as the largest in history. Nonetheless, Anthropic’s intricate corporate structure and governance, including its designation as a public benefit corporation accountable to a Long-Term Benefit Trust committee, could result in delays and affect its valuation.

Anthropic differentiates itself from other AI labs by significantly targeting business clients. Its coding model, Claude Code, is regarded as top-tier.

However, the company has encountered some challenges. Earlier this year, US Defense Secretary Pete Hegseth imposed sanctions on Anthropic under two different supply-chain regulations, requiring the removal of its Claude AI models from military and federal agency usage. Hegseth labeled the company’s ethical policies—particularly its resistance to the unsupervised application of Claude in high-risk situations—as a national security concern. Specifically, Anthropic’s executives have firmly maintained that the government’s inclination to unilaterally utilize nascent AI models for purposes such as weapon targeting and mass surveillance is not an endorsement the company will support.

These sanctions could potentially cost Anthropic billions in sales this year, executives claim. The company has initiated lawsuits to challenge these designations in ongoing legal proceedings.
